By accessing or using the CodeSolvix website, applications, and any associated services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must discontinue use of the Services immediately.
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and CodeSolvix ("Company," "we," "us," or "our"). We reserve the right to modify, update, or replace any part of these Terms at our sole discretion. Changes become effective immediately upon posting to this page, and your continued use of the Services following any modifications constitutes acceptance of the revised Terms.
You represent and warrant that you are at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater. If you are accessing the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and references to "you" shall include both you individually and the organization.
We may provide notifications of changes to these Terms by any reasonable means, including but not limited to email, in-app notifications, or prominent notices on our website. It is your responsibility to review these Terms periodically to remain informed of updates.

The specific scope, deliverables, timelines, and pricing for any project engagement will be documented in a separate Statement of Work ("SOW") or service agreement executed between you and CodeSolvix. In the event of a conflict between these Terms and a specific SOW, the terms of the SOW shall prevail with respect to the services covered therein.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
All content, materials, and technology made available through the Services, including but not limited to text, graphics, logos, icons, images, audio clips, software, source code, databases, and the compilation thereof (collectively, "Company Content"), are the exclusive property of CodeSolvix or its licensors and are protected by international copyright, trademark, patent, and other intellectual property laws.
Unless otherwise expressly agreed in a separate written agreement or SOW:
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Company Content without our prior written consent, except as incidental to normal web browsing or as expressly permitted by these Terms.
The CodeSolvix name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of CodeSolvix. You may not use such marks without our prior written permission.
To the fullest extent permitted by applicable law, CodeSolvix, its officers, directors, employees, agents, affiliates, successors, and assigns shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, goodwill, or other intangible losses, arising out of or related to your use of or inability to use the Services, regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if CodeSolvix has been advised of the possibility of such damages.
In no event shall CodeSolvix's total aggregate liability to you for all claims arising out of or related to the Services or these Terms exceed the greater of (a) the total amounts paid by you to CodeSolvix during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars ($100).
The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. CodeSolvix does not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law. Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
These Terms remain in effect until terminated by either party. You may terminate your agreement to these Terms at any time by ceasing all use of the Services and, if applicable, by providing written notice to CodeSolvix.
CodeSolvix may suspend or terminate your access to the Services, in whole or in part, at any time and for any reason, including but not limited to:
Upon termination, your right to use the Services will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, limitation of liability, indemnification obligations, and any outstanding payment obligations.
CodeSolvix shall not be liable to you or any third party for any termination of your access to the Services. Where possible and commercially reasonable, we will endeavor to provide advance notice of termination, but we are under no obligation to do so.
These Terms and any disputes arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles.
Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Wilmington, Delaware, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts. You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts based on the doctrine of forum non conveniens or otherwise.
Notwithstanding the foregoing, CodeSolvix retains the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights or confidential information.
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect. The failure of CodeSolvix to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
